In these Terms of Service, the terms "we," "us," and "our" refer to Flora Exótica. The terms "you," "your," or "the customer" refer to the individual accessing the Site or making a purchase.

 

IMPORTANT NOTICE FOR CONSUMERS

These Terms are governed by Mexican legislation, in particular the Federal Consumer Protection Law (LFPC), the Commercial Code (Title Two, "Electronic Commerce") and the Federal Law on the Protection of Personal Data Held by Individuals (LFPDPPP).

Nothing in these Terms limits, excludes, or diminishes the rights granted to the consumer by law, including the statutory guarantee. In the event of a conflict between these Terms and a legal provision more favorable to the consumer, the latter shall prevail. Any clause that is contrary to law shall be deemed null and void, without affecting the validity of the remainder of this document.

 

SECTION 1: OBJECT AND ACCEPTANCE

By accessing, browsing, or making a purchase on the Site, you agree to be bound by these Terms of Service. If you do not agree, please refrain from using the Site.

We recommend that you read these Terms before making any purchase. The full and updated text is permanently available on this page for your review, download, and printing.

 

SECTION 2: CAPACITY AND LEGAL AGE

To make purchases on the Site, you declare that you are 18 years of age or older (the age of majority in Mexico) and have the legal capacity to enter into contracts. If you are acting on behalf of a legal entity, you declare that you have sufficient authority to bind it.

The products on this Site are not directed at minors. In accordance with the Federal Consumer Protection Law (LFPC), we do not direct advertising or commercial practices to minors or to individuals who, due to their condition, require special protection.

 

SECTION 3: TERMS OF USE

You agree to use the Site lawfully and in good faith. The following are prohibited, including but not limited to:

- Use the Site or its content for any unlawful or unauthorized purpose, or infringe any applicable law, including intellectual property laws.
- To transmit viruses, worms or any code of a destructive nature.
- Harassing, abusing, defaming, intimidating or discriminating on the grounds of gender, sexual orientation, religion, ethnicity, race, age, national origin or disability.
- Sending false or misleading information, impersonating third parties, or collecting personal information from other users.
- Interfering with the security of the Site or circumventing its protection mechanisms; using spam, phishing, spiders, crawlers or unauthorized scrapers.
- Reproducing, duplicating, reselling or exploiting any part of the Site or our content without our prior written permission.

Failure to comply with this section may result in the suspension or termination of access to the Site, without prejudice to any applicable legal action.

 

SECTION 4: PRODUCTS, PRICES AND AVAILABILITY

Products offered may be subject to limited availability. We make every effort to accurately display product colors and images; however, as plants are living organisms, they may exhibit natural variations in size, shape, and color compared to the photographs, which is not a defect.

Prices are expressed in Mexican pesos (MXN) and include VAT where applicable. Prices may be updated at any time, but any price changes will not affect orders already confirmed by us: the price applicable to your purchase will be the one in effect and accepted at the time the order is confirmed.

We reserve the right to limit the quantity of products per order or to discontinue products, informing you in a timely manner on the Site.

 

SECTION 5: PURCHASE PROCESS AND ORDER CONFIRMATION

The purchase process is as follows: (i) you select the products and add them to the cart; (ii) review the details, prices and shipping charges; (iii) provide your information and choose the payment method; and (iv) confirm the order.

Once we receive your order, we will send you an email confirmation. The transaction will be considered complete when we confirm acceptance of your order and payment. We will maintain an electronic record of the transaction in accordance with applicable regulations.

 

SECTION 6: PAYMENT METHODS AND SECURITY

We accept the payment methods indicated on the Site at the time of purchase. Payment card information is transmitted in encrypted form through payment service providers that comply with applicable security standards.

We have adopted reasonable technical and administrative measures to protect the confidentiality and security of the information you provide to us, in accordance with the Federal Consumer Protection Law (LFPC) and the Federal Law on the Protection of Personal Data Held by Private Parties (LFPDPPP). We will not use your information for purposes other than those stated, nor will we transfer it to third parties without your consent, except as required by law.

 

SECTION 7: SHIPPING AND DELIVERIES

Delivery times, coverage areas, and shipping costs are displayed on the Site before you finalize your purchase and in theShipping PolicyDelivery times are estimates and may vary due to circumstances beyond our control (weather, shipping, unforeseen events, or force majeure). As these are live plants, we recommend that you be available to receive the shipment and follow the included care instructions.

 

SECTION 8: RIGHT OF CANCELLATION AND REFUNDS

Legal guarantee.All products are covered by the warranty established by the Federal Consumer Protection Law. If the product is defective, does not match the description, or arrives damaged, you may choose, in accordance with the law, to receive a replacement or a refund of the amount paid, in addition to any other applicable compensation.

Returns and cancellationsThe conditions, deadlines and procedures for cancellations, changes and refunds are detailed in ourReturn policywhich forms an integral part of these Terms. In cases where the law recognizes the consumer's right to revoke their consent without liability, this right may be exercised within the following **five business days** in accordance with the provisions of the LFPC, considering the perishable nature of the plants when applicable.

SECTION 9: REJECTION OR CANCELLATION OF ORDERS BY OUR PART

We may reject or cancel an order only for objective and justified reasons, such as: lack of stock, obvious error in the price or description, impossibility of delivery to the indicated area, well-founded suspicion of fraud or unauthorized use of payment methods, or breach of these Terms.

If we cancel an order that has already been paid for, we will refund the full amount to the original payment method, unless you agree to another method. We will notify you by email or phone.

 

SECTION 10: INTELLECTUAL PROPERTY OF THE SITE

The content of this website (text, images, logos, trademarks, design, and databases) is owned by Flora Exótica or its licensors and is protected by applicable intellectual and industrial property laws. Its reproduction, distribution, or exploitation is not permitted without prior written authorization, except for personal use necessary for browsing and purchasing on the website.

 

SECTION 11: USER-SUBMITTED CONTENT

If you submit comments, reviews, photographs, ideas or any other material (the "Content"), you represent that you are the author or have the rights to distribute them, and that they do not infringe the rights of third parties or contain illegal, offensive or harmful material.

By submitting your Content, you retain ownership and grant us a non-exclusive, royalty-free license, valid within Mexico and for as long as we operate the Site, to use, reproduce, and display said Content for the purpose of operating and promoting the Site and our products. This license fully respects your moral rights as a copyright holder, which are inalienable and cannot be waived under the Federal Copyright Law.

We may—but are not obligated to—moderate or remove Content that we deem illegal, offensive, or that infringes the rights of third parties or these Terms. You may request the removal of your Content at any time by writing to contact@floraexotica.mx .

 

SECTION 12: THIRD-PARTY TOOLS AND LINKS

The Site may contain tools or links to third-party sites that we do not control. These tools are provided "as available" and their use is at your own risk, subject to the terms of the relevant third party. We do not endorse or assume responsibility for third-party content, products, or services; we encourage you to review their policies before engaging with them. Claims regarding third-party products or services should be directed to the third party.

 

SECTION 13: ACCURACY OF INFORMATION

We strive to ensure that the information on the Site is accurate and up-to-date. However, it may contain typographical errors, inaccuracies, or omissions related to descriptions, prices, or availability. We reserve the right to correct such errors and update information at any time. When an obvious error affects an order already placed, we will notify you, and you may either confirm the order with the corrected information or cancel it for a full refund.

 

SECTION 14: LIABILITY

We will be liable for any damages directly resulting from our breach of contract, in accordance with the terms and scope established by Mexican law. We do not exclude or limit our liability where prohibited by law, particularly with respect to the legal warranty and consumer rights.

We will not be liable for failures arising from acts of God or force majeure, nor for the misuse of the products by the customer (for example, inadequate plant care contrary to the instructions provided).

 

SECTION 15: PERSONAL DATA

We may update these Terms by posting the revised version on this page, indicating the date of the last update. Changes will not apply retroactively to orders already confirmed. Your use of the Site after the posting of changes constitutes your acceptance of the changes for future transactions.

 

SECTION 17: DIVISIBILITY

If any provision of these Terms is declared void, illegal or unenforceable, such provision will be deemed not to be included to the extent strictly necessary, without affecting the validity and enforceability of the other provisions.

 

SECTION 18: TERMINATION

The obligations assumed by the parties before the termination of these Terms will survive such termination. You may stop using the Site at any time. We may suspend or terminate your access if you breach these Terms, without prejudice to any amounts due up to that date.

 

SECTION 19: INTERPRETATION

The section headings are included for convenience only. In case of doubt or ambiguity, these Terms shall be interpreted in the manner most favorable to the consumer, in accordance with applicable law.

 

SECTION 20: APPLICABLE LAW, PROFECO AND JURISDICTION

These Terms are governed by the laws of the United Mexican States.

In case of any doubt, complaint or controversy, you can go to the Federal Consumer Protection Agency (PROFECO) through the means that it makes available (consumer telephone and website profeco.gob.mx), without prejudice to your right to go to the competent courts.

For the interpretation and fulfillment of these Terms, the parties submit to the jurisdiction of PROFECO in the administrative process and, where applicable, to the competent courts of the consumer's domicile, waiving any other jurisdiction that may correspond to them.
